Terms of Service

Please read these Terms of Service carefully before engaging Pixalorix Studio for any creative services. By submitting a project inquiry, accepting a proposal, or making any payment, you confirm that you have read, understood, and agreed to be bound by these Terms. These Terms constitute a legally binding agreement between you (the "Client") and Pixalorix Studio ("Studio," "we," "us," or "our").

1. About Pixalorix Studio

Pixalorix Studio is a creative design boutique based in Joplin, Missouri, USA, specializing in digital visual design services. Our practice is focused exclusively on the creation of visual content: platform-ready digital assets, custom illustrations and artistic visuals, and presentation and deck design. Our services are purely creative and advisory in nature. We do not provide software development, advertising management, marketing campaign execution, or access to, management of, or modification of any client-owned digital platforms, systems, or accounts.

Our mission is to provide high-quality, original visual work that elevates our clients' digital presence. Every project we undertake is approached with full creative attention and professional discipline.

2. Scope of Services

Pixalorix Studio provides the following categories of digital design and creative services:

  • Online Platform Visual Assets: Creation of custom graphics, banners, social media visuals, brand identity elements, digital advertising creatives, and other platform-ready visual materials intended for use on websites, social networks, digital publications, or online marketplaces.
  • Illustrations and Artistic Visuals: Original hand-crafted or digitally produced illustrations, character designs, editorial artwork, conceptual compositions, icon systems, and other artistic visual outputs.
  • Presentation and Deck Design: Design of professionally structured pitch decks, investor presentations, corporate slide presentations, data visualization, infographic reports, and accompanying template systems.

The specific scope, deliverables, timelines, revisions included, and pricing for each project are detailed in the individual project proposal and/or service agreement issued to the Client prior to commencement of work. In the event of any conflict between these Terms and the project proposal, the project proposal shall govern with respect to project-specific details.

3. Project Proposals and Acceptance

3.1 Proposals

All projects begin with a formal written proposal issued by Pixalorix Studio. Proposals include a project description, the defined scope of work, number of revision rounds included, pricing, payment schedule, and estimated delivery timeline. Proposals are valid for fourteen (14) calendar days from the date of issue unless otherwise stated.

3.2 Acceptance

A project is considered accepted, and work will not begin, until: (a) the Client has provided written confirmation of acceptance of the proposal (email is sufficient); and (b) the deposit invoice has been paid in full as specified in the proposal. No work will commence prior to receipt of both confirmation and deposit payment.

3.3 Scope Changes

Any changes to the agreed scope of work, including additional deliverables, expanded usage rights, revised timelines, or new design directions introduced after project acceptance, must be agreed upon in writing and may result in revised pricing and timeline adjustments. Pixalorix Studio reserves the right to issue a supplemental proposal for any out-of-scope requests.

4. Fees, Payments, and Billing

4.1 Pricing

All fees are quoted in US Dollars (USD). Pricing is determined based on the complexity of the project, number of deliverables, revision rounds, turnaround requirements, and scope of usage rights. Our starting rates reflect current U.S. market rates for professional digital design services: Online Platform Visuals from $350 per project; Illustrations & Art Visuals from $500 per illustration; Presentation & Deck Design from $450 per deck. Final pricing is confirmed in the project proposal.

4.2 Deposit

All projects require a non-refundable deposit of fifty percent (50%) of the total project fee, due prior to commencement of any work. The deposit covers the Studio's initial creative investment, time allocation, and opportunity cost of reserving capacity for the Client's project.

4.3 Final Payment

The remaining balance (50% of total project fee) is due upon delivery of final files or at such other time as specified in the project proposal. Final files, source files, and ownership transfer (as applicable) will not be released until full payment has been received and cleared.

4.4 Late Payments

Invoices unpaid beyond fourteen (14) days of the due date will incur a late fee of 1.5% of the outstanding balance per month (or the maximum rate permitted by applicable law, whichever is less). Pixalorix Studio reserves the right to pause or suspend active project work until overdue invoices are settled.

4.5 Taxes

The Client is responsible for any applicable sales taxes, VAT, GST, or other governmental taxes or levies that may apply to the purchase of design services in the Client's jurisdiction. Pixalorix Studio will collect applicable taxes as required by Missouri state law and any applicable federal regulations.

5. Revisions and Feedback

Each project proposal specifies the number of revision rounds included within the quoted fee. A revision round is defined as a single consolidated set of feedback or change requests submitted by the Client in response to a design presentation. Pixalorix Studio will not process or act on fragmented, piecemeal feedback submitted across multiple messages or communications until consolidated by the Client.

Revisions that fall outside the included rounds, or that represent a material change in creative direction, will be quoted and billed as additional work at our current hourly rate of $95 USD per hour, or a fixed fee to be agreed upon in writing.

Clients are expected to provide clear, specific, and actionable feedback in a timely manner. Feedback that is vague, contradictory, or not aligned with the originally agreed brief may result in additional charges or timeline adjustments.

6. Intellectual Property and Ownership

6.1 Copyright During Project

All creative work produced by Pixalorix Studio remains the exclusive intellectual property of Pixalorix Studio until full and final payment of all outstanding invoices has been received and confirmed.

6.2 Transfer of Rights Upon Payment

Upon receipt of full final payment, Pixalorix Studio grants the Client a non-exclusive, perpetual, worldwide license to use the final delivered works for the purposes specified in the project proposal. Unless the proposal explicitly states "full copyright transfer" or "exclusive all-rights license," the Client receives a broad usage license rather than an assignment of copyright.

6.3 Studio Portfolio Rights

Pixalorix Studio reserves the right to display completed work in its portfolio, on its website, in promotional materials, and on professional social media platforms, unless the Client has requested confidentiality in writing prior to project acceptance. Confidentiality provisions must be agreed upon in writing and may be subject to an additional fee.

6.4 Third-Party Assets

If any licensed stock imagery, typefaces, icons, or other third-party assets are incorporated into the delivered work, the Client is responsible for ensuring they hold appropriate licenses for their intended use. Pixalorix Studio will disclose the use of any third-party assets and provide licensing details.

6.5 Tools and Processes

Pixalorix Studio retains ownership of all design tools, processes, methodologies, templates, components, and technical workflows used in the production of work, including any proprietary design systems, templates, or approaches developed by the Studio independently of the Client's project.

7. Client Responsibilities

The Client agrees to fulfill the following responsibilities throughout the duration of any project:

  • Provide all required content, copy, brand guidelines, reference materials, assets, and other inputs in a timely and organized manner.
  • Designate a single point of contact authorized to provide feedback, approvals, and decisions on behalf of the Client organization.
  • Respond to design presentations, draft reviews, and feedback requests within five (5) business days. Delays exceeding this period may result in timeline adjustments.
  • Ensure that all materials provided to the Studio (text, images, data, logos, etc.) are legally owned or properly licensed by the Client and do not infringe any third-party intellectual property rights.
  • Review all deliverables carefully and provide final written approval before files are released or published.

8. Timelines and Delivery

Estimated timelines for project delivery are set out in each project proposal. These timelines are contingent upon: (a) timely receipt of all required content and materials from the Client; (b) timely provision of feedback within the specified review periods; and (c) no changes to the agreed project scope.

Pixalorix Studio will make all reasonable efforts to meet stated deadlines. However, timelines may be adjusted as a result of Client delays, scope changes, or unforeseen circumstances beyond the Studio's reasonable control. The Studio will communicate any timeline changes promptly and in writing.

Rush delivery requests (projects requiring completion within less than half the standard estimated timeline) are subject to a rush surcharge of twenty-five to fifty percent (25–50%) of the total project fee, depending on the degree of urgency.

9. Confidentiality

Both parties agree to treat as confidential all non-public information shared during the course of a project that is designated as confidential or that a reasonable person would understand to be confidential given the context of disclosure. This obligation survives the termination of the service relationship.

Pixalorix Studio will not disclose Client business information, unreleased products, strategies, or proprietary data to third parties without prior written consent, except as required by law. The Client similarly agrees not to disclose the Studio's pricing, processes, or proprietary methodologies to third parties.

10. Cancellation and Termination

Either party may terminate a project engagement by providing written notice. In the event of Client-initiated cancellation:

  • The non-refundable deposit is forfeited in all cases, as it compensates the Studio for time and resources already allocated.
  • If cancellation occurs after work has commenced beyond the initial concept stage, additional fees may be due based on the proportion of work completed at the time of cancellation, as assessed by the Studio.
  • All work completed up to the point of cancellation remains the property of Pixalorix Studio until any outstanding fees are paid in full.

In the event of Studio-initiated termination due to Client breach of these Terms (including non-payment, provision of illegal content, or failure to fulfill Client responsibilities), the Client forfeits the deposit and any payments made, and all work produced remains the property of Pixalorix Studio.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Pixalorix Studio's total liability to the Client for any claims arising from or related to services provided under these Terms shall not exceed the total fees paid by the Client to the Studio for the specific project from which the claim arises.

Pixalorix Studio shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or reputational harm, even if the Studio has been advised of the possibility of such damages. The Studio does not guarantee specific business outcomes or results from the use of its creative deliverables.

12. Warranties and Representations

Pixalorix Studio warrants that: (a) the creative work delivered will be original and produced by or under the supervision of the Studio; (b) to the Studio's knowledge, the delivered work will not infringe the intellectual property rights of any third party; and (c) the Studio has the full right and authority to enter into service agreements with Clients and fulfill the agreed scope of work.

The Client warrants that: (a) all materials, content, and data provided to the Studio are owned by or properly licensed to the Client; (b) the Client has the authority to enter into a binding agreement; and (c) the Client's intended use of the delivered work is lawful and does not violate any applicable laws or regulations.

13. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or the services provided hereunder shall first be subject to good-faith negotiation between the parties. If resolution cannot be reached within thirty (30) days, the dispute shall be submitted to binding arbitration conducted in Jasper County, Missouri, in accordance with the rules of the American Arbitration Association.

14. Modifications to These Terms

Pixalorix Studio reserves the right to modify these Terms of Service at any time. Material changes will be communicated via our website. Your continued engagement of our services following such notification constitutes acceptance of the revised Terms. Projects already in progress at the time of any revision remain governed by the Terms in effect at the time the project proposal was accepted.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with any applicable project proposal, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior negotiations, representations, or agreements, whether written or oral.
